Affiliate Agreement

This Affiliate Agreement ("Agreement") is entered into between Omnipoint Inc. ("Company") and you ("Affiliate") for participation in the Omnipoint Affiliate Program. By joining our program, you agree to the following terms and conditions.

1. Program Overview

The Omnipoint Affiliate Program is a performance-based marketing initiative that rewards qualified affiliates with residual commissions for successfully referring customers to our partner services. Our comprehensive service portfolio includes:

• Energy Services: Electricity rate comparison and switching services
• Business Solutions: Enterprise internet, network services, and IoT solutions
• Internet Services: High-speed fiber and cable internet packages
• Security Systems: Wireless cameras, smart security, and monitoring services
• Mobile Services: Unlimited data plans and family packages
• Domain & Hosting: Domain registration and web hosting solutions
• TV & Streaming: Cable TV and streaming service bundles
• Phone Services: Business VoIP and communication solutions
• IoT Solutions: Smart building sensors and automation systems

2. Affiliate Obligations

Marketing Standards

As an Affiliate, you must:

• Maintain professional standards in all customer interactions
• Use only approved marketing materials and messaging
• Provide accurate information about services and pricing
• Comply with all applicable advertising and consumer protection laws
• Respect customer privacy and data protection requirements

Prohibited Activities

Affiliates are strictly prohibited from:

• Engaging in spam, unsolicited communications, or deceptive practices
• Bidding on Company trademarks or branded terms in paid advertising
• Creating misleading websites or impersonating Company representatives
• Generating fraudulent leads or manipulating tracking systems
• Violating any applicable laws, regulations, or industry standards

3. Residual Commission Structure and Payment

Residual Commission Rates

All services in the Omnipoint Affiliate Program offer a 10% residual commission ratethat continues to pay you every month for as long as the referred customer remains active and continues paying for their service. This creates a sustainable, recurring income stream.

Payment Terms

• Payment Schedule: Monthly residual payments within 30 days of month-end
• Minimum Payout: $50 minimum threshold for payment processing
• Payment Methods: Direct deposit, PayPal, or check (affiliate's choice)
• Currency: All payments made in USD
• Tax Responsibility: Affiliates responsible for applicable taxes
• Commission Duration: Residual commissions continue for the lifetime of the customer account
• Commission Calculation: Based on active, paying customer accounts only

4. Performance Standards

To maintain good standing in the program, affiliates should strive to meet these benchmarks:

• Quality Score: Maintain customer satisfaction ratings above 4.0/5.0
• Conversion Rate: Achieve reasonable conversion rates based on traffic quality
• Compliance: Zero tolerance for fraudulent or deceptive practices
• Communication: Respond to Company communications within 48 hours
• Activity: Generate at least one qualified referral every 90 days

5. Tracking and Attribution

We use advanced tracking technology to ensure accurate residual commission attribution:

• Cookie Duration: 30-day attribution window for initial referrals
• Lifetime Tracking: Residual commissions tracked for the lifetime of customer accounts
• Last-Click Attribution: Credit given to the last affiliate in the customer journey
• Real-Time Tracking: Monitor referrals and residual commissions in your dashboard
• Fraud Protection: Advanced systems to detect and prevent fraudulent activity
• Transparent Reporting: Detailed analytics and performance metrics available 24/7

6. Marketing Support

We provide comprehensive marketing support including:

• Professional marketing materials and creative assets
• Product training and sales support resources
• Dedicated affiliate manager for top performers
• Regular program updates and optimization tips
• Co-marketing opportunities for qualified affiliates
• AI-powered recommendation tools and customer insights
• Residual income tracking and forecasting tools

7. Intellectual Property

Company grants you a limited, non-exclusive license to use approved marketing materials solely for promoting our services. You may not modify, create derivative works, or use our trademarks without explicit written permission.

8. Confidentiality

Affiliates must maintain confidentiality of all proprietary information, including but not limited to commission structures, customer data, marketing strategies, and business operations. This obligation survives termination of this Agreement.

9. Termination

Either party may terminate this Agreement at any time with 30 days written notice. Company may terminate immediately for breach of terms, fraudulent activity, or violation of applicable laws. Upon termination:

• All promotional activities must cease immediately
• Marketing materials must be removed from all channels
• Earned residual commissions will continue to be paid for active customers
• Confidentiality obligations remain in effect

10. Limitation of Liability

Company's total liability is limited to the payment of earned residual commissions. We are not liable for any indirect, incidental, special, or consequential damages arising from participation in the affiliate program.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the courts of Dallas County, Texas.

12. Modifications

Company reserves the right to modify this Agreement, commission rates, or program terms at any time with 30 days written notice. Continued participation after such changes constitutes acceptance of the modified terms.
